1. Eligibility: The Más+ by Messi™ “ New Jersey Soccer Match” Sweepstakes (“Sweepstakes”) is open only to legal U.S. residents of New Jersey who are 16 years of age or older at the time of entry. Employees, officers and directors of the following entities and members of their immediate families (defined as parent, child, sibling, spouse) or same households (whether related or not) are NOT eligible to enter the Sweepstakes or win the Prize: Más+ Next Generation Beverage Co. (“Sponsor”), its parent company, subsidiaries, divisions, affiliates, advertising and promotion agencies (including VCCP USA, LLC and HP2 Promotions), distributors and retailers of Mas+ by Messi™ products. By participating in the Sweepstakes, entrants (if entrant is a minor, his/her parent or legal guardian) agree to abide by and be bound by these Official Rules and the decisions of Sponsor and HP2 Promotions (the independent judging organization, “Administrator”) which shall be final and binding in all respects. All federal, state and local laws apply.

2. Sweepstakes Period: Sweepstakes begins on June 15, 2024 on or about 12:00:01 a.m. Eastern Time (“ET”) and ends June 18, 2024 at 11:59:59 p.m. ET.

3. How to Enter: There is one (1) way to enter this Sweepstakes.

During the Sweepstakes Period, click on the designated button in the Sweepstakes invitation to access the Website. (Invitation is only valid for you and is not transferable). Complete and submit the entry form with all required information, including your first name, email address, state of residence, and tick the applicable box: (1) confirming that you are 18 years of age or older OR (2) that you are between 16 and 18 years of age and have obtained the consent of your parent/legal guardian to enter the Sweepstakes. In addition, tick the box that you (or, if you are between the ages of 16 and 18, your parent/legal guardian) read and agree to these Official Rules.

Internet access and a valid e-mail address (as well as an Instagram account) are required to enter the Sweepstakes. Receipt of entry may be acknowledged but such acknowledgment does not constitute any representation of eligibility for the Sweepstakes nor

4. Entry Restrictions: Limit of one (1) entry per person. Violation of the entry limit will result in all additional entries being void. But, Sponsor reserves the right to void all entries (and disqualify entrant from the Sweepstakes altogether) if Sponsor/Administrator determines in its sole discretion that a given person has engaged in egregious, blatant or repeated violations of the entry limit. Proof of submission of entry does not constitute proof of receipt of same or proof of entry. Any acknowledgment of receipt of entry by Sponsor/Administrator does not constitute any representation of eligibility for the Sweepstakes nor is it otherwise binding upon Sponsor. Entries generated by script, macro, robotic, programmed or like means are prohibited and will be disqualified. Use of third-party entities (e.g., commercial sweepstakes-entry services) to enter Sweepstakes on a person's behalf voids entry and will result in disqualification. In the event of a dispute over the identity of an entrant, entry will be deemed submitted by the Authorized Account Holder of the email account included on the entry form. Authorized Account Holder means the natural person who is assigned to an email address by an Internet access provider, on-line service provider, or other organization that is responsible for assigning email addresses for the domain associated with a given email address. All decisions by Sponsor and Administrator as to the identity of entrant are final and binding in all respects.

If participating in the Sweepstakes via mobile device, message and data rates may apply. You may be charged by your wireless carrier for participating in the Sweepstakes by using your mobile device. 5. Prize:

Prize (1): two (2) tickets to the international soccer match taking place on Tuesday, June 25, 2024 in East Rutherford, New Jersey (“Soccer Match”). Approximate Retail Value of Prize is $950.00.

Winner must be available to attend Soccer Match on June 25, 2024; if winner is unavailable on such date for any reason, Prize will be forfeited without compensation of any kind and an alternate winner may be selected, time permitting.

Exact seat location will be determined by Sponsor in its sole discretion. Tickets to Soccer Match are subject to terms and conditions of use as provided therewith, including policy if Soccer Match cannot be played for any reason. Tickets to Soccer Match may be awarded in virtual (“e”) form; and, in such case, should winner not have a compatible mobile device, special arrangements will be made to award tickets. Venue restrictions also apply, including but not limited to (a) clear bag policy; (b) mandatory security screening; (c) prohibition on certain items in venue (including, fireworks, laser pointers, selfie sticks, drones and weapons of any kind); and (d) prohibition on re-entry to venue. Tickets are governed by a revocable, non-transferable license and are not intended for use by anyone other than winner and his/her guest including but not limited to provision to another via re-sale, exchange or barter.

Winner and guest must at all times act in an appropriate, well-behaved and respectful manner in using tickets to Soccer Match. The preceding includes abiding by the Guest Code of Conduct of venue as well as complying with any laws/regulations or policies (of the United States or any political subdivision thereof, of venue or any other business entity) designed to prevent the spread of COVID-19/Coronavirus; such as, mask-wearing, social distancing, providing proof of negative COVID-19/Coronavirus test and/or providing proof of vaccination against COVID-19/Coronavirus.

All costs and expenses relative to acceptance/use of Prize not specified herein are solely the winner's responsibility. The preceding includes but is not limited to travel to and from the Soccer Match, parking at venue, souvenirs and meals.

Guest of winner must complete, sign and return a Liability Release and Publicity Release (where lawful) prior to Soccer Match. If Guest is a minor, his/her parent/legal guardian must be the Prize winner and a parent/legal guardian must sign the Liability Release and Publicity Release (where lawful) on the minor guest’s behalf.

If winner chooses to accept the Prize without a guest, Prize will consist of only one (1) ticket to Soccer Match and no substitute prize or compensation will be awarded in conjunction therewith.

If Prize is declined by a winner, no alternate prize or compensation will be awarded in conjunction therewith.

6. Winner Determination/Odds: Winner will be selected in a random drawing from among all eligible entries received. The random drawing will be conducted by Administrator, an independent judging organization, on June 19, 2024. Odds of winning the Prize depends on the number of eligible entries received for the random drawing.

Potential winner will be notified via e-mail on June 19 beginning at/after 11:00 a.m. (ET). SPONSOR/ADMINISTRATOR WILL ONLY USE COMMERCIALLY REASONABLE EFFORTS TO CONTACT POTENTIAL WINNER AND DISCLAIM ANY AND ALL LIABILITY IN CONJUNCTION WITH THEIR ATTEMPTS TO DO SO. WITHOUT IN ANY WAY LIMITING THE FOREGOING: (A) SPONSOR/ADMINISTRATOR MAY (OR MAY

NOT) NOTIFY A GIVEN POTENTIAL WINNER AS FEW AS ONE (1) TIME USING ONLY ONE (1) METHOD OF NOTIFICATION AND (B) SHOULD NOTIFICATION BE MADE VIA TELEPHONE, NO MESSAGES WILL BE LEFT. IT IS THEREFORE STRONGLY RECOMMENDED THAT YOU MAKE YOURSELF AVAILABLE BEGINNING AT/AFTER 11:00 A.M. (ET) ON JUNE 19 JUST IN CASE YOUR ENTRY IS SELECTED IN THE RANDOM DRAWING.

Potential winner† will be required to sign before a Notary Public a Declaration of Eligibility, a Liability Release and a Publicity Release (where lawful) within forty-eight (48) hours of time of transmission (or such shorter time period as indicated thereon). In the event of noncompliance with this requirement or if potential winner cannot be contacted for any reason, Prize will be forfeited without compensation of any kind and an alternate winner may be selected from among all remaining eligible entries received for the random drawing, time permitting.

7. Prize Restrictions. No prize substitution or cash redemption except at Sponsor’s sole discretion due to unavailability (in whole or in part) for any reason and only then for prize of comparable value. If won by a minor, the Prize may be awarded in the name of or to the minor’s parent/legal guardian on his/her behalf. The Prize is not transferable except with Sponsor’s prior consent which may be granted or withheld in its sole discretion without liability of any kind. By accepting the Prize, the winner (if winner is a minor, his/her parent or legal guardian) waives the right to assert as a cost of winning the Prize, any and all costs of redemption or travel to redeem the Prize and any and all liability that might arise from redeeming or seeking to redeem the Prize.

Taxes on the Prize are the winner’s sole responsibility and the winner will be issued W-9 IRS Tax Form with the Declaration of Eligibility, Liability Release and Publicity Release (where lawful) and a subsequent 1099 IRS Form.

Sponsor makes no warranties, and hereby disclaims any and all warranties, express or implied, concerning the Prize. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, THE PRIZE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.

8. Releases: By participating, entrant (if entrant is a minor, his/her parent or legal guardian) indemnifies, releases and agrees to hold harmless (a) Más+ Next Generation Beverage Co. , its parent company, subsidiaries, divisions, affiliates, and advertising and promotion agencies (including VCCP USA, LLC and HP2 Promotions); (b) the directors, officers, agents, representatives, shareholders, employees, successors and assigns of any of the above organizations; and (c) Meta Platforms, Inc. (“Released Entities”) from any and all liability arising from participating in the Sweepstakes, any Sweepstakes-related activity and/or the acceptance, receipt, possession or use/misuse of the Prize (as applicable). Except where prohibited by law, acceptance of Prize constitutes winner’s (if winner is a minor, his/her parent or legal guardian’s) agreement to the use of winner’s name, address (city,

state), likeness, voice, photograph or other indicia of persona and/or statements regarding the Sponsor, the Más+ by Messi™ product or the Sweepstakes for advertising, publicity and trade purposes by Sponsor without further compensation or any notice or approval of any kind.

9. Limitations of Liability: Sponsor’s computer is the official clock for all purposes of the Sweepstakes. Sponsor assumes no responsibility under any legal theory for (a) any incomplete, incorrect or inaccurate information whether caused by web site users, tampering, hacking or by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error; (b) any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of any web site or entries; (c) any problems or technical malfunctions of any telephone network or lines, computer on-line-systems, servers or providers, computer equipment, software, programming or failure of email on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof, or for injury or damage to entrant’s or to any other person’s computer or mobile device (or any information/materials stored thereon) related to or resulting from downloading materials from any web site or participating in the Sweepstakes; or (d) entries (or the entry form itself) being inaccessible, irregular or defective in any respect due to filtering by or other operation of the functionality of Instagram; and (e) late, lost, illegible/garbled, incomplete, damaged, inaccessible, corrupted or jumbled email transmissions or entries regardless of cause (and, all such entries are void.)

10. Force Majeure: If the Sweepstakes is not capable of running as originally planned for any reason beyond the control of Sponsor (e.g., natural disaster, pandemic/epidemic, unauthorized intervention, fraud, civil commotion), Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes and conduct the Sweepstakes and select the winner from among all eligible entries received for the random drawing prior to the action taken by Sponsor or otherwise in a manner which is fair, equitable and in accordance with these Official Rules, as determined by Sponsor in its sole discretion. Notice of such action by Sponsor will be posted on @masbymessi.

11. Tampering: ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES OR TO DEFRAUD SPONSOR IN CONJUNCTION WITH THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO DISQUALIFY SUCH PERSON FROM THE SWEEPSTAKES AS WELL AS TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

12. Additional Conditions of Participation: Sponsor is not responsible for any typographical, technical, or other error in the printing of the offer, administration of the Sweepstakes or in the announcement of the Prize. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes materials and the terms and conditions of these Official Rules, these Official Rules shall prevail, control and govern. If an entry is lost, destroyed or corrupted, the entrant’s sole remedy shall be receipt of a replacement entry for the random drawing, time permitting and if otherwise feasible; if not feasible (as determined by Sponsor in its sole discretion), Sponsor shall not have any liability of any kind relative to same. Only the type and quantity of prizes described in these Official Rules as set

forth above (that is, one [1] prize) are available to be won in the Sweepstakes. Sponsor’s failure to enforce any provision of these Official Rules in a given instance shall not represent the waiver of such provision. Should a court of competent jurisdiction deem a given provision of these Official Rules to be invalid, illegal, or unenforceable, such provision will be replaced with a substitute provision which is valid/legal/enforceable and most closely approximates the original intent of Sponsor. The invalidity, illegality or unenforceability of any provision of these Official Rules shall not affect the validity, legality or enforceability of any other provision of these Official Rules.

13. Disputes: This Sweepstakes is governed by the laws of the State of Illinois without respect to conflict of law/choice of law doctrines of Illinois (or of any other jurisdiction which would lead to the application of the law of any jurisdiction other than Illinois). To the fullest extent permitted by law, as a condition of participating in the Sweepstakes, entrant (if entrant is a minor, his/her parent or legal guardian) agrees (a) that any and all disputes regarding the Sweepstakes which cannot be resolved between the parties shall be resolved individually, without resort to any form of class action, exclusively before a federal or state court located in Cook County, Illinois; (b) to the personal jurisdiction of such courts and to waive any right of inconvenient forum, change of venue or any like right; (c) that any claims, judgments and awards shall be limited to actual out-of-pocket costs incurred in participating in the Sweepstakes (if any), but in no event attorney’s fees, with all other forms of remedy – including but not limited to punitive, incidental, or consequential damages and injunctive relief – being expressly waived.
